The second program in the 2003 Access to Capital series will focus on the "nuts and bolts" of angel and venture capital financing, and is designed specifically for the entrepreneur seeking practical guidance on the fundraising process. Experienced entrepreneurs who have "been there and done that" as well as an experienced venture capitalist, angel investor and angel group executive, and lawyers representing the company and investors, will provide clear insights into how company executives need to manage the fundraising process, the negotiation of critical terms with an angel and venture capital investor, and the mechanics for closing a deal.
Moderated by Rick Lucash and Chris Dahl, partners at Lucash, Gesmer & Updegrove, specific topics will include:
- Managing the Fundraising Process will guide you through the process of raising money, focusing on topics like: the challenge of running a company while trying to raise money; developing the target investors; securing meetings with investors and handling the presentations, questions and objections; and securing a term sheet.

- Negotiating the Deal Terms will review, from the different perspectives of an entrepreneur, angel investor and venture capitalist, the critical negotiation points in a sample investment term sheet and teach you what you need to know about liquidation preferences, antidilution and other terms affecting value and how to negotiate them.
